(Nasdaq: REAL), the world’s largest online marketplace for authenticated, consigned luxury goods, today announced the pricing of its offering of $150.0 million in aggregate principal amount of its 3.00% Convertible Senior Notes due 2025 (the “notes”) in a private offering to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”). The aggregate principal amount of the offering was increased from the previously announced offering size of $125.0 million. In connection with the offering, the Company granted the initial purchasers a 13-day option to purchase up to an additional $22.5 million in aggregate principal amount of notes. The offering is expected to close on June 15, 2020, subject to customary closing conditions.
